It’s tax time, and as our clients (attorneys, CPAs, and licensed professionals) are aware, every corporation and/or LLC needs an Employer Identification Number or EIN (also known as Federal Employer Identification Number or FEIN ) for filing tax returns and other identification purposes. An EIN is the corporate equivalent of an individual’s Social Security Number and is issued to corporations and businesses who have to pay withholding taxes on employees.

EINs are necessary for many employers, sole proprietors, corporations, partnerships, non-profit organizations, trusts and estates, government agencies, certain individuals and other business entities. When to File a Statement of Information in California

As the attorneys, CPAs, and other licensed professionals who deal with small and large businesses know firsthand, California law requires that every for-profit California corporation and limited liability company (LLC) file a Statement of Information with the California Secretary of State within 90 days of filing the original Articles of Incorporation or Articles of Organization.

Additionally, a for-profit corporation (such as a C-Corp or S-Corp) must re-file the Statement of Information at certain times. A corporation must file a state of information:

  • Annually; and
  • whenever the corporation: (1) moves, (2) elects new officers, (3) adds or deletes directors, (3) changes the name of its registered agent for service of process, or (4) changes the type of business the corporation is engaged in.

A California LLC must re-file its Statement of Information twice a year and whenever there is a change to: (1) the name of the limited liability company, (2) the name and/or address of the agent for service of process required to be maintained, (3) the street address of the LLC’s principal executive office, or (4) the name and complete business or residence addresses of any manager, officer or the Chief executive officer, if any. Furthermore, if the LLC is a member-managed LLC, the LLC must refile the Statement of Information if the name and/or business or residence address of each member changes; or if the principal business activity of the LLC changes.

CA Assembly to Improve Business Filings Backlog

As many of our clients (licensed attorneys, CPAs and financial professionals) are aware, the turnaround time to start a new business in California can be seemingly interminable. In fact, due to a high number of filings and short staffing at the CA Secretary of State, the backlog within the Business division is greater than usual. Current processing time for filings for new business formation is 40 – 60 days. These forms much be processed prior to a business hiring employees, which means that many new businesses and entrepreneurs are being forced to put things on hold.

While Attorneys Corporation Service, Inc. does speed up the business formation process in California (all documents are filed within 24 hours), we can only do so much. However, the California legislature recently got involved and is bringing us good news.  On Monday, the Assembly approved $2 million to eliminate the lengthy backlog of business paperwork in the Secretary of State’s office.

According to KCRA news, ‘the additional money, approved unanimously, will allow the secretary of state to hire temporary staffers and pay for overtime to process tens of thousands of applications delayed by recent budget cuts.’ If California wants to be a business-friendly state, these steps appear necessary. According to John Kabateck, executive director of the state’s chapter of the National Federation of Independent Business, ”this has been an unnecessary brick wall to business startups and job creation for way too long.”

There appears to be accountability at all levels, as the secretary of state must report to the Legislature each month on the progress made regarding processing times. In addition, future legislation is expected to require business forms to be processed within five days, making California among the fastest states in the country.

Also mentioned in the KCRA article is the amount of money required to keep up with the filings. ‘Perez, D-Los Angeles, said lawmakers are reviewing the amount of money needed to prevent future backlogs. They estimate that the Secretary of State’s office will need an additional $6 million to $9 million next year to keep pace with applications. The Assembly transferred $1.2 million out of its operating budget last year to reduce a backlog that led to wait times of more than 80 days.’

The bill, AB113, now goes to the Senate.

  • Estimated Tax Payments. If your clients receives income from his business that is not subject to withholding, he may be required to pay estimated income tax at both the federal and state level. As many attorneys and CPAs know, this typically applies to self-employed individuals or individuals that receive large amounts of interest, dividends, capital gains, rents, royalties, or business income.
